Karkadi LLC ("Karkadi," "we," "us," "our") provides independent AI testing, monitoring, and reporting services. These Terms of Service ("Terms") govern your access to and use of our website at karkadi.com and all related services. By using our services, you agree to these Terms in full. If you do not agree, do not use our services.
Karkadi provides independent testing and monitoring of AI systems — including chatbots, copilots, and automation agents — deployed by its customers. Our services include structured test execution, performance scoring, error identification, cost analysis, and periodic reporting.
Karkadi does not build, develop, modify, host, or operate customer AI systems. We observe and report on AI behavior from the outside.
Karkadi does not provide legal advice. Our services do not constitute legal, regulatory, or compliance counsel of any kind.
Our reports document observed AI performance and behavior. They do not certify compliance with any law, regulation, or standard — including but not limited to the EU AI Act, Colorado AI Act, GDPR, or any other regulatory framework.
You should consult qualified legal counsel for compliance matters. Karkadi reports may support governance efforts, but they are not a substitute for legal review.
All services and results are provided on an "as is" and "as available" basis. Karkadi performs sampled, observational testing. Our findings are indicative, not exhaustive.

AI systems are inherently dynamic. Results reflect conditions at the time of testing and may not reflect subsequent changes to the AI system, its underlying model, or its configuration.

We reserve the right to suspend or terminate access for any violation of this section without prior notice. See our Acceptable Use Policy for additional detail.
Billing. Paid services are billed through Stripe on a recurring monthly basis. By subscribing, you authorize recurring charges to your payment method at the applicable rate.
Auto-renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
Cancellation. You may cancel at any time through the Stripe customer portal or by emailing billing@karkadi.com. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period.
Refunds. Refunds are not provided unless otherwise stated in a separate written agreement.
Price changes. We may adjust pricing with 30 days' written notice. Continued use after a price change constitutes acceptance.
The KarkadiSeal™ is a performance-based designation awarded to AI systems that meet defined scoring thresholds during monitored testing periods. It is not a legal certification, regulatory approval, or compliance attestation.

All testing methodologies, scoring frameworks, report formats, the KarkadiSeal™ mark, and proprietary materials remain the exclusive property of Karkadi LLC.
Reports delivered to you may be used for your internal business purposes. You may not resell, publicly distribute, or modify Karkadi reports without prior written consent.
We process data solely to deliver our services. We do not use customer data or AI interaction data to train machine learning models. See our Privacy Policy and Data Processing Addendum for full details.

Testing is conducted through publicly accessible interfaces, customer-provided interaction logs, or lightweight observability integrations as agreed in writing.
To the maximum extent permitted by applicable law:
You agree to indemnify and hold harmless Karkadi LLC, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
You may cancel services at any time by providing written notice to billing@karkadi.com. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access immediately if you violate these Terms, engage in prohibited conduct, or if continued service poses a risk to Karkadi or third parties.
Upon termination, we will deliver any outstanding reports for completed testing periods and cease all monitoring activities within 48 hours.
We may update these Terms at any time. Material changes will be communicated via email or a notice on our website at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles.
Any dispute arising from or related to these Terms will be resolved through binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in English. The arbitration award will be final and enforceable in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy, Data Processing Addendum, Acceptable Use Policy, Certification Terms, and any signed service agreements, constitute the entire agreement between you and Karkadi regarding the subject matter herein.
